1. Agreement to Terms

Welcome to Dagen AI. These Terms of Service ("Terms") govern your access to and use of the Dagen AI website, platform, and Services. By accessing or using our Services, you agree to be bound by these Terms and our Privacy Policy.

If you do not agree to these Terms, you may not access or use the Services. If you are using the Services on behalf of an organization, you represent and warrant that you have authority to bind that organization to these Terms.

2. Description of Services

Dagen AI provides an agentic data pipeline platform that enables users to:

• Build, deploy, and manage data pipelines using natural language intent declarations
• Connect to data sources including databases, SaaS platforms, and cloud data warehouses
• Generate and maintain dbt models, transformations, and data quality tests
• Schedule, monitor, and autonomously operate data workflows
• Run specialist AI agents for ingestion, modeling, orchestration, Spark development, and more
• Detect and autonomously remediate schema drift, quality failures, and pipeline anomalies
• Build and accumulate institutional knowledge about your data infrastructure over time

3. Account Registration and Security

3.1 Account Creation

To use certain features, you must create an account. You agree to provide accurate, current, and complete information during registration and to maintain the security of your credentials. You are responsible for all activity that occurs under your account.

3.2 Account Eligibility

You must be at least 18 years old to create an account. By creating an account, you represent that you meet this requirement.

3.3 Account Suspension and Termination

We reserve the right to suspend or terminate accounts that violate these Terms, engage in abusive behavior, or present security risks. You may terminate your account at any time by contacting contact@dagen.ai. Upon termination, your access to the Services will cease and your data will be handled per our Privacy Policy.

4. Acceptable Use Policy

4.1 Permitted Use

You may use the Services only for lawful purposes and in accordance with these Terms. The Services are designed for professional data engineering and analytics use cases.

4.2 Prohibited Activities

You agree NOT to:

• Violate any applicable laws, regulations, or third-party rights
• Use the Services to transmit malware, viruses, or malicious code
• Attempt to gain unauthorized access to our systems, other users' accounts, or connected data sources you are not authorized to access
• Reverse engineer, decompile, or disassemble any part of the Services
• Use the Services to build a competing product or service
• Interfere with or disrupt the integrity or performance of the Services or the data of other users
• Resell, sublicense, or redistribute the Services without express written authorization
• Use automated methods to scrape, extract, or interact with the Services outside of documented API access

5. Your Data and Content

5.1 Ownership

You retain ownership of all data, pipeline configurations, intent declarations, and other content you bring to or create using the Services ("User Content"). You grant Dagen AI a limited license to process User Content solely to provide the Services.

5.2 Generated Code

Pipeline code, dbt models, SQL queries, and other artifacts generated by Dagen AI agents based on your intent declarations are provided to you for your use. You own the generated outputs.

5.3 Anonymized Learning

We may use anonymized, aggregated, and de-identified usage patterns to improve our agent models and the overall platform, provided this does not expose your proprietary data or configurations to other users.

6. Payment Terms

Certain features require payment of subscription fees. Fees are billed in advance on a monthly or annual basis and are non-refundable except as required by law or as explicitly stated in your plan terms.

We reserve the right to modify pricing with 30 days' notice. Continued use of the Services after a price change constitutes acceptance of the new pricing. Enterprise contracts are governed by separate Order Forms which supersede these general payment terms.

7. Intellectual Property

The Services, including the Agentic Pipeline Framework (APF), the super-agent orchestration architecture, all software, algorithms, designs, trademarks, and platform content (excluding User Content), are owned by Dagen AI, Inc. and protected by applicable intellectual property laws.

Nothing in these Terms grants you any right to use Dagen AI's trademarks, logos, or branding without prior written consent.

8. Disclaimer of Warranties

The Services are provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

We do not warrant that the Services will be uninterrupted, error-free, or that autonomous pipeline actions will always produce the expected results. Users are responsible for validating agent-generated outputs before relying on them in production environments.

9. Limitation of Liability

To the maximum extent permitted by applicable law, Dagen AI, Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including loss of revenue, data, or business — arising out of or related to your use of the Services, even if advised of the possibility of such damages.

Our aggregate liability for any claims relating to the Services shall not exceed the amount you paid to Dagen AI in the twelve months preceding the claim.

10. Governing Law and Disputes

These Terms are governed by the laws of the State of New Jersey, USA, without regard to its conflict of law provisions. Any disputes arising from these Terms or the Services shall be resolved by binding arbitration in New Jersey, except that either party may seek injunctive relief in any court of competent jurisdiction.

11. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes via email or a prominent in-platform notice at least 30 days before changes take effect. Continued use of the Services after the effective date constitutes acceptance of the revised Terms.
